These Terms and Conditions (“Terms”) govern your access to and use of the Tickerscope website, applications, software, tools, data, and related services (collectively, the “Services”).By accessing or using Tickerscope, you agree to these Terms. If you do not agree to these Terms, you should not use the Services.1. About TickerscopeTickerscope provides software tools for viewing, organizing, researching, and analyzing financial-market, securities, portfolio, brokerage, and related information.Features may include market information, portfolio analytics, screening tools, trading-related calculations, educational materials, research tools, simulations, models, alerts, visualizations, and other analytical functionality.The Services will evolve over time. Features may be added, modified, suspended, replaced, or discontinued.2. Not Investment Advic.
Tickerscope does not provide investment, financial, legal, accounting, or tax advice.Information produced, calculated, presented, or displayed by Tickerscope is provided for informational, analytical, and educational purposes only.Nothing available through Tickerscope constitutes or should be interpreted as: A recommendation to buy, sell, hold, or trade any security or financial instrument; Personalized investment advice; An offer or solicitation to purchase or sell securities; A representation that any investment or trading strategy is appropriate for you; A guarantee or prediction of investment performance; or Legal, accounting, or tax advice.You are solely responsible for your investment and trading decisions.You should independently evaluate any investment, trading strategy, or financial decision and, where appropriate, consult qualified financial, legal, accounting, or tax professionals.3. No Broker-Dealer, Investment Adviser, or Fiduciary RelationshipTickerscope is not a broker-dealer and does not act as your investment adviser, financial adviser, portfolio manager, or fiduciary solely by providing the Services.Creating an account, connecting a brokerage account, entering portfolio information, using analytical tools, viewing securities information, or receiving information generated by Tickerscope does not create an advisory, brokerage, fiduciary, or similar professional relationship.4. Investment and Trading RiskInvesting and trading involve substantial risk.Securities, options, derivatives, and other financial instruments may lose value. You may lose some or all of the capital committed to an investment or trading strategy.Options, derivatives, leveraged products, short positions, and other trading strategies may involve additional or substantial risks and may not be appropriate for all investors.Historical performance does not guarantee future results.Backtests, hypothetical results, probability calculations, expected moves, volatility measures, models, simulations, projections, forecasts, and other analytical outputs are inherently uncertain and should not be interpreted as predictions or guarantees of future performance.You assume responsibility for evaluating the risks associated with investment and trading decisions made using information obtained through Tickerscope.5. Market, Securities, and Financial DataTickerscope may obtain or process information from securities exchanges, financial-data providers, brokerage institutions, public sources, third-party APIs, user-supplied information, and other sources.We do not guarantee that information provided through the Services will be complete, accurate, current, timely, available, or error-free.Market data may be delayed. Prices displayed through Tickerscope may differ from current market prices or prices available for actual execution.Portfolio and brokerage information may also be delayed or incomplete because of synchronization schedules, third-party providers, brokerage institutions, network conditions, market conditions, or technical issues.You should verify material financial information through appropriate primary sources before making an investment or trading decision.6. Brokerage and Financial Account ConnectionsTickerscope may allow you to connect supported brokerage or financial accounts through third-party integration providers.By establishing a connection, you authorize Tickerscope and the applicable integration provider to process information necessary to provide the features you have requested, subject to the permissions you authorize.Third-party integration providers and brokerage institutions may impose their own terms, privacy policies, eligibility requirements, data restrictions, and technical limitations.Unless expressly stated otherwise for a particular feature, Tickerscope should not be considered the authoritative system of record for brokerage balances, positions, transactions, orders, executions, or other account information.The records maintained by your brokerage or financial institution control in the event of a discrepancy.7. User AccountsCertain Tickerscope features may require you to create or maintain an account.You agree to provide accurate information when establishing your account and to maintain the security of your account credentials.You are responsible for activity occurring through your account except to the extent caused by circumstances for which Tickerscope is legally responsible.You may not allow another person to use your account in a manner that violates these Terms or applicable law.You should notify us promptly if you believe your account credentials have been compromised or your account has been accessed without authorization.We may temporarily restrict, suspend, or terminate an account when reasonably necessary to investigate unauthorized access, fraud, abuse, security threats, violations of these Terms, or unlawful activity.8. PrivacyYour use of Tickerscope is also subject to our Privacy Policy, which describes how we collect, use, disclose, retain, and protect personal information.The Tickerscope Privacy Policy is incorporated into these Terms by reference.By using the Services, you acknowledge that information associated with your use of Tickerscope will be handled as described in the Privacy Policy.9. Acceptable UseYou agree not to use Tickerscope to: Violate applicable law or regulation; Gain or attempt to gain unauthorized access to accounts, systems, data, or networks; Circumvent authentication, authorization, access controls, or security mechanisms; Interfere with the operation, availability, or security of the Services; Introduce malicious software, scripts, code, or other harmful material; Probe, scan, or test vulnerabilities without authorization; Scrape, harvest, reproduce, or systematically extract data except where expressly permitted; Attempt to reverse engineer protected portions of the Services except where applicable law expressly permits such activity; Misrepresent your identity or authority; Access or use another person's account without authorization; Use the Services to infringe the intellectual-property, privacy, or other rights of another person or entity; or Use the Services in a manner that places an unreasonable burden on Tickerscope's infrastructure or interferes with other users.10. Intellectual PropertyTickerscope and its original software, interface designs, graphics, branding, analytical tools, documentation, written materials, databases, and other original content are protected by applicable intellectual-property laws.Third-party trademarks, market data, financial information, software, and other materials remain the property of their respective owners and licensors.Except for the limited right to access and use the Services in accordance with these Terms, these Terms do not grant you ownership of Tickerscope intellectual property.You may not copy, distribute, modify, sell, license, publicly display, or create derivative works from protected Tickerscope materials except as expressly authorized or permitted by applicable law.11.
User-Provided Information
You retain ownership of information you provide to Tickerscope.You grant Tickerscope the limited rights reasonably necessary to store, process, transmit, analyze, organize, and display that information for purposes of providing, maintaining, securing, and improving the Services.You represent that you have the right to provide information you submit to Tickerscope or authorize Tickerscope to access.Our collection, processing, retention, and disclosure of personal information is further described in the Tickerscope Privacy Policy.12. Third-Party ServicesTickerscope may integrate with, obtain information from, or provide links to services operated by third parties.These may include brokerage institutions, financial-data providers, authentication providers, market-data providers, cloud infrastructure providers, and other technology services.
Tickerscope does not control independently operated third-party services and cannot guarantee their availability, accuracy, security, performance, or continued compatibility with Tickerscope.Your use of third-party services may be governed by separate agreements between you and the applicable provider.A third-party provider may change, restrict, suspend, or discontinue its service or its integration with Tickerscope without our control.13.
Educational and Analytical FeaturesTickerscope may provide educational content, trading examples, strategy descriptions, analytical tools, calculations, simulations, rankings, scores, indicators, screening results, or other information intended to help users understand financial markets and investment concepts.Such features are provided for educational and informational purposes.A security appearing in a screen, ranking, alert, model, watchlist, analysis, or other Tickerscope feature should not be interpreted as an endorsement or recommendation of that security.Users remain responsible for evaluating the suitability and risks of any investment or trading strategy.14. Availability and Modification of the ServicesWe do not guarantee continuous or uninterrupted availability of Tickerscope.The Services may become unavailable because of scheduled maintenance, upgrades, software defects, infrastructure failures, third-party outages, market-data interruptions, brokerage connectivity problems, security incidents, Internet disruptions, or circumstances beyond our reasonable control.We may modify, replace, restrict, suspend, or discontinue portions of the Services as Tickerscope develops.We may also establish or modify limits on particular features, accounts, data, storage, or usage when reasonably necessary to operate the Services.15. Beta, Experimental, and Developing FeaturesTickerscope may make new, experimental, preview, beta, or developmental features available to users.These features may contain defects, produce unexpected results, change substantially, or be discontinued.Information or calculations produced by experimental features should be independently verified before being relied upon.Where a feature is identified as experimental, beta, preview, or developmental, you acknowledge the additional possibility of errors, incomplete functionality, or service interruption associated with that feature.16. Disclaimer of WarrantiesTo the fullest extent permitted by applicable law,
Tickerscope and the Services are provided on an “as is” and “as available” basis.Tickerscope disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, and non-infringement to the extent permitted by applicable law.We do not warrant that the Services will operate without interruption or error.We do not warrant that analytical results, calculations, market data, portfolio information, forecasts, probabilities, simulations, rankings, indicators, or other information produced or displayed by the Services will be accurate, complete, current, or suitable for any particular investment or trading decision.17. Limitation of LiabilityTo the fullest extent permitted by applicable law, Tickerscope and its owners, operators, affiliates, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your access to or use of the Services.This includes, without limitation, investment losses, trading losses, lost profits, lost opportunities, loss of data, business interruption, service interruption, or losses resulting from reliance upon information, calculations, data, models, or analytical results provided through Tickerscope.Tickerscope is not responsible for losses caused by decisions or actions taken by a user, brokerage institution, financial institution, market-data provider, integration provider, or other third party.Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.18. IndemnificationTo the extent permitted by applicable law, you agree to indemnify and hold harmless Tickerscope and its owners, operators, affiliates, employees, and contractors from claims, damages, liabilities, losses, and reasonable expenses arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of the rights of another person or entity.19. Suspension and TerminationYou may stop using Tickerscope at any time.We may suspend or terminate access to some or all of the Services when reasonably necessary because of a violation of these Terms, unlawful activity, misuse of the Services, security concerns, fraudulent activity, or discontinuation of the Services.Termination of an account does not eliminate rights or obligations that arose before termination.Provisions that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, and dispute-related provisions, will remain effective following termination.20. Governing LawThese Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles, except where applicable law requires otherwise.Subject to applicable law, disputes arising from or relating to these Terms or the Services shall be brought in the state or federal courts having jurisdiction in Contra Costa County, California.21. Changes to These TermsTickerscope may revise these Terms as the Services develop or as legal, regulatory, operational, or technical requirements change.When these Terms are updated, the Last Updated date at the top of this page will be revised.Material changes may also be communicated through the Services or by other appropriate means.Your continued use of Tickerscope after revised Terms become effective constitutes acceptance of the revised Terms.22. SeverabilityIf any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.23. No WaiverA failure by Tickerscope to enforce any provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.24. Entire AgreementThese Terms, together with the Tickerscope Privacy Policy and any additional terms presented for specific features or services, constitute the agreement between you and Tickerscope concerning your use of the Services.25.
